SUBJECT MATTER OF THE CONTRACT
By the
present Contract, the Performer is obliged to prepare and deliver the
specified the products upon the order of the Customer. In his turn the
Customer is obliged to accept the ready-made product and pay the Performer
for the delivered product.
The
performer is obliged to cover all the expenses regarding the delivery
throughout its destination.
The
Performer agreed to carry out the order in compliance with the contract.
The
Customer accepts the product delivered by the Performer and pays for it in
compliance with the contract.
SUM
OF THE CONTRACT AND TERMS OF PAYMENT
The Customer
pays the Performer for each of a ready-made product taking into account
the quality and the type of a product. The payment of the work done is
determined by the empowered representatives of the parties and signed
according to its quality and the level of its readiness, which is
considered to be the payment term of the Customer and available in the
invoice.
SANCTIONS
AND ARBITRATION
In the event
that the Customer violates the provisions of the terms 1.1 and 2.3 of the
present contract, the Performer shall not bear any responsibility for the
next delivery of the product.
The parties
shall do their endeavours to settle all the problems and disputes through
negotiations. In the event that the parties fail to settle the arisen
disputes through negotiations, then the respondent is to take the case to
the court for consideration.
FORCE-MAJOR
The
parties do not bear any responsibilities for partial or non-performance of
the duties of the present contract in case the violations are conditioned
by the natural force, such as fire, earthquake, war, armed confrontations
and the like.
The
references or certificates given by the Commercial Palace are to be the
sufficient proof for the development, rise and the duration of the
circumstances.
OTHER
TERMS
In separate
cases, the Customer can, at his own expense, provide materials and
equipments for the improvement and the changes of the technology of the
products.
DATES
OF CONTRACT
The
present contract takes effect in October 1, 2002 and is in force for the
period of 5 (five) years till October 1, 2007.
The
period of the contract can be extended in case the written agreement of
the two parties is presented.
The
separate points of the present contract can be subject to alteration in
case of the changes of the situation.
The
present contract is comprised of two (2) copies in the Armenian and English
languages, each being authentic.
The
present contract is signed by the Performer and the Customer. |
